Terms of Service

These terms are an agreement between Eh Team Studios, a business based in Manitoba, Canada ("we", "us"), and the company that subscribes to Harness Forge ("you", the "Customer"). By signing an order form or using a Harness Forge workspace, you agree to these terms on behalf of your company, and you confirm you're authorized to do so.
Harness Forge is offered to businesses in Canada and the United States, for business use. It isn't offered to consumers.
1. The service
Harness Forge is wire harness design software delivered from a dedicated server ("workspace") that we run for you at its own address (for example yourcompany.harnessforge.ca). Your order form sets out your workspace, number of seats, term and fees.
2. Your account and users
- You decide who has access and with what role (admin, engineer, viewer or outside partner). You're responsible for what your users and the partners you share with do in your workspace.
- Keep passwords and recovery codes private, and tell us promptly if you believe your workspace has been accessed without permission.
- Seats are for named people and shouldn't be shared between people.
3. Your data
- You own your data: designs, parts, documents, files and everything else you or your users put into your workspace ("Customer Data"). We claim no ownership of it.
- We use Customer Data only to run, secure, back up, support and improve the service for you, and as described in our Privacy Policy. We don't sell it and don't use it to train AI models.
- We only look at Customer Data when you ask us to (for example for support), when needed to keep the service running or secure, or when required by law.
- You can export your designs at any time (Harness Forge files, Excel, PDF, DXF and others). When your subscription ends, we'll provide a complete copy of your workspace database on request for 30 days, then delete your workspace and its backups within a further 60 days.
- You confirm you have the right to upload what you put in your workspace, including connector drawings, customer drawings and supplier data.
4. Engineering responsibility
Harness Forge is a design tool. It calculates lengths, voltage drop, ampacity, fuse coordination, weld settings and other values, and checks designs against rules, based on the information you and your parts library provide. You remain responsible for checking every design, drawing, bill of materials and manufacturing output before you build, release or ship anything. Built-in part data and presets are reference information that may be incomplete or out of date; always verify against the manufacturer's current datasheet. Manufacturer and product names are used to identify parts; we're not affiliated with or endorsed by those manufacturers.
5. Acceptable use
Don't use Harness Forge to break the law, to infringe others' rights, to attempt to access other customers' systems or data, to probe or overload the service beyond normal use, or to resell access to it without our written agreement. Don't reverse-engineer the software except where the law allows it.
6. Fees
Fees, billing period and payment terms are in your order form. Fees are in Canadian dollars for customers in Canada and US dollars for customers in the United States, unless your order form says otherwise, and exclude applicable taxes (such as GST and provincial sales tax in Canada, or sales tax in the United States). If an invoice is more than 30 days overdue, we may make your workspace read-only after giving you notice; we won't delete your data for non-payment without at least 30 days' further notice.
7. Availability, support and updates
- We aim to keep your workspace available at all times, monitor it continuously and take encrypted backups every night. Planned maintenance is done outside normal working hours where possible. Unless your order form includes a service level agreement, no specific uptime is guaranteed.
- We update the software regularly, with an automatic backup before each update. We may change or remove features, but won't materially reduce the core functionality you subscribed to during your current term.
- Support is by email at hello@harnessforge.ca Monday to Friday, 9 a.m. to 5 p.m. Central Time, except Manitoba statutory holidays.
8. Security
We protect your workspace with measures appropriate to engineering data, including HTTPS, a dedicated server per customer, encrypted backups, two-step sign-in, single sign-on support, a security log and hardened servers. If we become aware of unauthorized access to your Customer Data, we'll notify you without undue delay and tell you what we know.
9. Confidentiality
Each of us will keep the other's non-public information confidential and use it only for this agreement. This doesn't cover information that is public, already known, independently developed or required to be disclosed by law.
10. Warranties and disclaimers
We'll provide the service with reasonable skill and care. Apart from that, the service is provided "as is", and to the extent the law allows we disclaim all other warranties, including fitness for a particular purpose and that the service will be error-free or uninterrupted.
11. Limitation of liability
To the extent the law allows: neither of us is liable for indirect, consequential or special losses, or for lost profits, production, recalls or rework; and our total liability under this agreement is limited to the fees you paid us in the 12 months before the claim. These limits don't apply to a party's breach of confidentiality, or to liability that can't be limited by law.
12. Term and termination
Your subscription runs for the term in your order form and renews automatically for the same length of term unless either of us gives at least 30 days' notice before it ends. Either of us may end it if the other materially breaches these terms and doesn't fix the breach within 30 days of notice. Section 3 explains what happens to your data when it ends.
13. Changes to these terms
We may update these terms. We'll give at least 30 days' notice of material changes by email to your workspace admins; changes apply from your next renewal unless you agree otherwise.
14. General
These terms are governed by the laws of the Province of Manitoba and the federal laws of Canada that apply there, wherever you are located, and the courts of Manitoba have exclusive jurisdiction over any dispute. The United Nations Convention on Contracts for the International Sale of Goods doesn't apply. Each of us will comply with the export control and sanctions laws of Canada and the United States that apply to our use of the service. If part of these terms is unenforceable, the rest still applies. Your order form takes precedence over these terms if they conflict.
